- (b) Maintain appropriate qualifications, licenses, permits, and insurance when required;
- (c) Follow all applicable federal, state, and local laws;
- (d) Treat participants fairly and professionally;

7.4 Safety and Risk Disclosure
Experience Providers acknowledge that certain experiences may involve inherent risks.

- (a) User's access or use of OpenInvite2;
- (b) User Content;
- (c) User transactions;
- (d) Violation of these Terms;
- (e) Violation of applicable law;
- (f) Violation of third-party rights.
21.2 Business Member Indemnification
Business Members specifically agree to indemnify GiantReferrals.com LLC against claims arising from:
- Products or services offered;
- Advertising claims;
- Consumer disputes;
- Licensing issues;
- Professional services;
- Regulatory violations.
21.3 Experience Provider Indemnification
Experience Providers specifically agree to indemnify GiantReferrals.com LLC for claims relating to:
- Events;
- Experiences;
- Participant injuries;
- Safety issues;
- Venue issues;
- Service performance;
- Customer disputes.
21.4 Advertising Indemnification
Advertisers agree to indemnify GiantReferrals.com LLC for claims arising from:
- Advertisement content;
- Marketing claims;
- Intellectual property issues;
- Regulatory violations;
- Consumer complaints.
21.5 Intellectual Property Claims
Users shall indemnify GiantReferrals.com LLC against claims alleging that User Content:
- Infringes copyrights;
- Violates trademarks;
- Misappropriates proprietary information;
- Violates publicity rights.
21.6 Defense Rights
GiantReferrals.com LLC reserves the right to assume exclusive defense and control of any matter subject to indemnification.
Users agree to cooperate fully with the Company's defense efforts.
21.7 Survival
Indemnification obligations survive:
- Account termination;
- Cancellation of services;
- Removal from OpenInvite2;
- Completion of transactions.
22. Chapter 22 - ARBITRATION AND CLASS ACTION WAIVER
22.1 Purpose of Arbitration Provision
This Chapter establishes the procedures for resolving disputes between users and
GiantReferrals.com LLC.
The purpose of this provision is to provide an efficient and cost-effective method for resolving disputes while preserving applicable legal rights.
22.2 Informal Dispute Resolution Requirement
Before initiating arbitration or litigation, the complaining party agrees to first provide written notice describing:
- The nature of the dispute;
- The facts supporting the claim;
- The requested resolution;
- Contact information for follow-up.
The parties agree to attempt good-faith resolution for at least thirty (30) days after notice is received.
22.3 Agreement to Arbitrate
To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to:

- These Terms;
- Services provided by GiantReferrals.com LLC;
- User accounts;
- Transactions involving the Company shall be resolved through binding arbitration, except where prohibited by law.

- The American Arbitration Association ("AAA"); or
- Another mutually agreed arbitration service.
The arbitration shall be conducted according to the applicable arbitration rules unless modified by this Agreement.
22.5 Location and Procedure
Unless otherwise required by law:
- (a) Arbitration may be conducted remotely;
- (b) Written submissions may be permitted;
- (c) Hearings may occur electronically;
- (d) The arbitrator shall apply applicable law consistent with this Agreement.
22.6 Arbitration Costs
The allocation of arbitration fees shall be governed by applicable arbitration rules and applicable law.
Nothing in this Agreement prevents a consumer from exercising rights that cannot legally be waived.
22.7 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USERS AND GIANTREFERRALS.COM LLC AGREE THAT CLAIMS MAY ONLY BE BROUGHT ON
AN INDIVIDUAL BASIS.
YOU AGREE THAT YOU MAY NOT PARTICIPATE AS:
- A CLASS REPRESENTATIVE;
- A CLASS MEMBER;
- A PRIVATE ATTORNEY GENERAL;
- A CONSOLIDATED CLAIMANT IN ANY CLASS OR REPRESENTATIVE ACTION AGAINST GIANTREFERRALS.COM
LLC.
22.8 Exceptions to Arbitration
Nothing in this Chapter prevents either party from seeking:
- Emergency injunctive relief;
- Protection of intellectual property rights;
- Enforcement of confidentiality obligations;
- Collection of unpaid fees.
22.9 Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, USERS AND GIANTREFERRALS.COM LLC WAIVE ANY RIGHT TO A JURY TRIAL FOR DISPUTES
SUBJECT TO COURT RESOLUTION.
23. Chapter 23 - GOVERNING LAW AND VENUE
23.1 Governing Law
These Terms shall be governed by and interpreted under the laws of the State of New Jersey, without regard to conflict-of-law principles that would require application of another jurisdiction's laws.
This provision applies except where mandatory consumer protection laws require otherwise.
23.2 Venue
For disputes not subject to arbitration, the parties agree that courts located within the State of
New Jersey shall have jurisdiction, unless prohibited by applicable law.
23.3 Consent to Jurisdiction
Users consent to:
- Personal jurisdiction;
- Venue;
- Service of process in courts having jurisdiction over disputes arising under these Terms.
23.4 International Users
Users accessing OpenInvite2 outside the United States acknowledge that:
- (a) They are responsible for compliance with local laws;
- (b) Certain services may not be available;
- (c) United States law may apply to Company operations.
23.5 Governmental Restrictions
Nothing in these Terms prevents compliance with:
- Court orders;
- Regulatory requirements;
- Government investigations;
- Legal obligations.
24. Chapter 24 - TERMINATION AND SUSPENSION
24.1 Termination by User
Users may discontinue use of OpenInvite2 at any time.
Termination does not eliminate obligations that arose before termination.
24.2 Termination by GiantReferrals.com LLC
GiantReferrals.com LLC may suspend, restrict, or terminate access to OpenInvite2 if the
Company reasonably believes that a user:
- (a) Violated these Terms;
- (b) Violated applicable law;
- (c) Engaged in fraud;
- (d) Created security risks;
- (e) Harmed other users;
- (f) Failed to pay required fees;
- (g) Misused platform features.
24.3 Immediate Suspension Rights
The Company may immediately restrict access when necessary to:
- Protect users;
- Prevent fraud;
- Address security concerns;
- Comply with legal requirements;
- Protect Company rights.
24.4 Effect of Termination
Upon termination:
- (a) Access rights may immediately end;
- (b) User content may be removed;
- (c) Outstanding payment obligations remain due;
- (d) Certain provisions survive termination.
24.5 Survival of Terms
The following provisions survive termination:
- Intellectual property provisions;
- Disclaimers;
- Limitation of liability;
- Indemnification;
- Arbitration provisions;
- Governing law provisions;
- Payment obligations.
25. Chapter 25 - MISCELLANEOUS LEGAL PROVISIONS
25.1 Entire Agreement
These Terms, together with incorporated policies and agreements, constitute the entire agreement between the user and GiantReferrals.com LLC regarding OpenInvite2.
They replace prior discussions, understandings, or agreements regarding the platform.
25.2 Severability
If any provision of these Terms is found invalid, illegal, or unenforceable:
- (a) The remaining provisions remain effective;
- (b) The invalid provision shall be modified only to the extent necessary;
- (c) The parties intend to preserve the original purpose of the provision.
25.3 Assignment

- Corporate transactions.
25.4 Force Majeure

- Government actions;

- Cybersecurity events;
- Labor disruptions;
- Utility failures;
- Third-party service interruptions.
25.5 No Agency Relationship
Nothing in these Terms creates:
- Employment;
- Partnership;
- Joint venture;
- Agency;
- Franchise relationship.
Users remain independent parties.
25.6 Notices
Legal notices may be provided through:
- Email;
- Platform notifications;
- Website postings;
- Written communications.
Users must maintain current contact information.
25.7 Waiver
Failure to enforce any provision does not waive the right to enforce that provision later.
25.8 Interpretation Against Drafting Party
The parties acknowledge that these Terms are intended to be interpreted fairly and not automatically against either party based solely on who drafted the Agreement.
25.9 Headings
Headings are provided for convenience and do not affect interpretation.
